Terms of Service

These Terms of Service ("Terms") govern your use of the Klyentic platform located at klyentic.com (the "Service"), operated by Klyentic ("we," "our," or "us"). By accessing or using the Service, you agree to be bound by these Terms.

1. Account Registration

To use the Service, you must create an account. You agree to provide accurate, current, and complete information and to keep your login credentials secure. You are responsible for all activity that occurs under your account.

2. Acceptable Use

You agree not to:

• Use the Service for any illegal purpose or in violation of any applicable law
• Attempt to gain unauthorized access to other accounts, systems, or networks
• Upload malicious code or interfere with the Service's operation
• Resell or redistribute the Service without our prior written consent
• Use the Service to scrape, harvest, or collect data from third-party services beyond what is authorized by your connected integrations

3. Subscriptions & Billing

3.1 Free Tier

We offer a free tier with limited features. No payment information is required for the free tier.

3.2 Paid Plans

Paid subscriptions are billed monthly or annually as selected at checkout. All fees are in US dollars and are non-refundable except as required by law. We use Stripe to process payments.

3.3 Cancellation

You may cancel your subscription at any time from your account settings. Upon cancellation, your plan will remain active until the end of the current billing period, after which your account will revert to the free tier.

3.4 Price Changes

We reserve the right to change pricing. We will notify you at least 30 days before any price increase takes effect on your next billing cycle.

4. Integrations & Third-Party Services

The Service connects to third-party platforms (Google Analytics, GitHub, Stripe, etc.) via OAuth. By connecting an integration, you authorize us to access the data necessary to provide our features. We are not responsible for the availability, accuracy, or policies of third-party services.

5. AI Agent Actions

Our AI agent may suggest and, upon your approval, execute actions such as modifying website code via GitHub, updating metadata, or adjusting configurations. You acknowledge that:

• You are responsible for reviewing and approving agent actions before they are executed
• We are not liable for any adverse effects resulting from approved agent actions
• Auto-fix features are provided "as is" and should be tested in staging environments before production deployment

6. Intellectual Property

The Service, including its design, code, algorithms, and documentation, is owned by Klyentic and protected by intellectual property laws. You retain all rights to your data. By using the Service, you grant us a limited license to process your data solely to provide the Service.

7. Data & Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information.

8. Limitation of Liability

To the maximum extent permitted by law, Klyentic shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Service.

Our total aggregate liability for any claims arising from the Service shall not exceed the amount you have paid us in the twelve (12) months preceding the claim.

9. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.

10. Termination

We may suspend or terminate your account if you violate these Terms or engage in activity that could harm the Service or other users. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive (including limitation of liability and intellectual property) will survive termination.

11. Governing Law

These Terms shall be governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Delaware.

12. Changes to These Terms

We may modify these Terms at any time. We will provide notice of material changes via email or in-app notification. Continued use of the Service after changes constitutes acceptance of the updated Terms.
